Prior to joining Trase, Koneru was General Manager at Amazon Web Services’ Bedrock, where she spearheaded the evolution of multi-modal AI services. Koneru previously held senior engineering leadership roles at Google and Salesforce. Earlier in her career, she worked in a variety of software engineering roles at both Oracle Corporation and Hewlett-Packard Corporation. Koneru holds a Bachelor of Technology degree from the National Institute of Technology Warangal and a master’s degree in computer science from Ball State University.

Rules and conditions for using our website and services.
1.1 Subject to Customer's compliance with the terms and conditions of this Agreement, Company hereby grants to Customer a limited, non-exclusive, non-transferable right to use the services set forth on the Order Form(s) attached to this Agreement (collectively, the "Services") during the Term for Customer's internal business purposes. With respect to any Software that is distributed or provided to Customer for use on Customer premises or devices, Company hereby grants Customer a non-exclusive, non-transferable, non-sublicensable license to use such Software during the Term only in connection with the Services.
1.2 As part of the registration process, Customer will identify an administrative username and password for Customer's Company account. Company reserves the right to refuse registration of, or cancel passwords it deems inappropriate.
1.3 Subject to the terms hereof, Company will provide Customer with reasonable technical support and out-of-scope services during the Term in accordance with the terms set forth in Exhibit A.
2.1 Customer will not, directly or indirectly: reverse engineer, decompile, disassemble or otherwise attempt to discover the source code, object code or underlying structure, ideas, know-how or algorithms relevant to the Services or any software, documentation or data related to the Services ("Software"); modify, translate, or create derivative works based on the Services or any Software; use the Services or any Software for timesharing or service bureau purposes or otherwise for the benefit of a third party; or remove any proprietary notices or labels.
2.2 Customer may not remove or export from the United States or allow the export or re-export of the Services, Software or anything related thereto in violation of any restrictions, laws or regulations of the United States Department of Commerce, the United States Department of Treasury Office of Foreign Assets Control, or any other United States or foreign agency or authority. Customer represents, covenants, and warrants that Customer will use the Services only in compliance with Company's standard published policies and all applicable laws and regulations.
2.3 Customer will not allow any person or entity other than its Authorized Users to use the Services. Customer is responsible for all acts or omissions by its Authorized Users in connection with their use of the Services and their compliance with this Agreement.
2.4 Customer shall be responsible for obtaining and maintaining any equipment and ancillary services needed to connect to, access or otherwise use the Services. Customer shall also be responsible for maintaining the security of the Equipment, Customer account, passwords, and files, and for all uses of Customer account or the Equipment with or without Customer's knowledge or consent.
3.1 Each party understands that the other party has disclosed or may disclose business, technical or financial information relating to the Disclosing Party's business ("Proprietary Information"). The Receiving Party agrees to take reasonable precautions to protect such Proprietary Information and not to use or divulge it to any third person.
3.2 Customer shall own and retain all right, title and interest in and to the Customer Data, and Customer shall own the Output. Company shall own and retain all right, title and interest in and to the Services and Software, all improvements, enhancements or modifications thereto, and all intellectual property rights related to any of the foregoing.
3.3 Customer grants Company a non-exclusive, worldwide, royalty free right and license to use the Customer Data solely to operate, monitor, provide, improve and maintain the Services, and to train and improve Company's AI Models; provided that any such use is only in de-identified form.
3.4 Company shall have the right to collect and analyze Usage Data relating to the provision, access, use and performance of the Services, and will be free to use such data to improve and enhance the Services, provided that any Usage Data constituting personal information shall only be in de-identified form.
3.5 If Customer provides Company with Feedback related to the Services, Customer grants Company the right to use and incorporate the Feedback for any purpose without restriction, attribution, payment or obligation to Customer.
4.1 Fees. Customer will pay Company the applicable fees for the Services as set forth in the applicable Order Form(s). Fees do not include applicable taxes, which shall be Customer's responsibility.
4.2 Expenses. Customer will reimburse Company for reasonable costs and expenses incurred in connection with this Agreement, provided that any expenses in excess of $500 are preapproved by the Customer.
4.3 Invoicing; Payments. All invoices shall be payable by Customer within 4 weeks of the invoice date. Unpaid amounts are subject to a finance charge of 1.5% per month on any outstanding balance, or the maximum permitted by law, whichever is lower.
5.1 Subject to earlier termination as provided below, this Agreement will begin on the Effective Date and continue until it is terminated or expires.
5.2 Either party may terminate this Agreement at any time immediately upon written notice if all term(s) of all Services have expired.
5.3 Either party may terminate this Agreement upon written notice if the other party materially breaches any provision and, if capable of cure, fails to cure such breach within thirty (30) days of written notice.
5.4 Upon termination, Company will make all Customer Data available to Customer for electronic retrieval for a period of thirty (30) days, after which Company will delete stored Customer Data unless otherwise prohibited by applicable law.
6.1 Each party will comply with its respective obligations under applicable data protection laws and will maintain a reasonable security program designed to protect the security of, and prevent unauthorized access to, Confidential Information and Customer Data.
6.2 If Customer uses the Services to process personal data, Customer will provide legally adequate privacy notices and obtain necessary consents for the processing of personal data by the Services.
6.3 Customer agrees not to use the Services to process Protected Health Information ("PHI") under HIPAA unless Customer and Company have entered into Company's Business Associate Agreement prior to processing any PHI.
Company shall use reasonable efforts consistent with prevailing industry standards to maintain the Services in a manner which minimizes errors and interruptions. Services may be temporarily unavailable for scheduled or emergency maintenance. EXCEPT AS EXPRESSLY SET FORTH IN THIS SECTION, THE SERVICES ARE PROVIDED "AS IS" AND COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
NOTWITHSTANDING ANYTHING TO THE CONTRARY, COMPANY AND ITS SUPPLIERS SHALL NOT BE RESPONSIBLE OR LIABLE FOR ANY INDIRECT, EXEMPLARY, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, OR FOR ANY AMOUNTS THAT EXCEED THE FEES PAID BY CUSTOMER TO COMPANY FOR THE SERVICES IN THE 12 MONTHS PRIOR TO THE ACT THAT GAVE RISE TO THE LIABILITY, IN EACH CASE, WHETHER OR NOT COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
This Agreement is the complete and exclusive statement of the mutual understanding of the parties and supersedes all previous written and oral agreements relating to the subject matter of this Agreement. This Agreement shall be governed by the laws of the State of Delaware without regard to its conflict of laws provisions.
1. Technical Support. Company will provide technical support via electronic mail on weekdays during the hours of 9:00 am through 5:00 pm Eastern time, excluding Federal Holidays. Customer may initiate a helpdesk ticket by emailing support@trase.ai. Company will use commercially reasonable efforts to respond to all tickets within one (1) business day.
2. Out of Scope Services. Company may provide additional services to Customer upon request and by mutual agreement, including configuration of Trase modules, refinement of client workflows, feature enhancements, and additional connections or configurations for existing modules.
3. New Applications. We will create an addendum for development of new products, capabilities, and/or modules.
